Scope and acceptance

These Terms of Service govern access to and use of Aequo by the company that registers an account ("Customer"), provided by NAVMEDA GmbH, Frohsinnstraße 29, 63739 Aschaffenburg, Germany ("we", "us"). By creating an account or signing an order for Aequo, Customer agrees to these Terms.

The service

Aequo is available as Cloud — a multi-tenant service with one dedicated database per customer — or Self-Hosted, deployed on Customer's own infrastructure under an annual license, as described on our Home and Pricing pages. The scope of features available depends on the plan or license edition Customer has subscribed to.

Accounts

Customer is responsible for the accuracy of its account and company information, for the confidentiality of its users' credentials, and for all activity that occurs under its account. Customer must notify us promptly of any suspected unauthorized access.

Subscription, trial, and billing

Where a free trial is offered, its length is shown at signup and no payment is taken until it ends, as described on our Pricing page. Paid plans are billed in advance, monthly or annually depending on the billing cycle chosen, via our payment processor Stripe. Customer may change plans at any time; changes take effect immediately and are prorated on the next invoice. If usage exceeds a plan's employee limit, we'll reach out to help Customer move to a suitable plan rather than automatically charging extra or suspending access.

Data ownership

Customer owns all data it enters into Aequo — your database, your rules. We process that data only as Customer's instructed processor, under the Data Processing Agreement included with every subscription (see our Security page). On termination, Customer may export its data before it is deleted from our systems.

Acceptable use

Customer will not use Aequo unlawfully, attempt to breach tenant isolation or security controls, interfere with other customers' use of the service, or reverse-engineer the platform beyond what applicable law permits.

Availability

Cloud plans target 99.5–99.9% availability depending on plan, as described on our Home page. Self-Hosted deployments run on Customer's own infrastructure and their availability is Customer's responsibility; if a Self-Hosted license lapses, the deployment moves to a graceful read-only state rather than a hard lock-out, so Customer is never cut off from its own data.

Term and cancellation

Cloud subscriptions run for the billing cycle selected (monthly or annual) and renew automatically unless cancelled before the renewal date; cancellation takes effect at the end of the current period. Self-Hosted licenses run on an annual term. Either party may terminate for the other's material, uncured breach.

Warranties and liability

Beyond the availability commitment above, the service is provided without further warranty to the extent permitted by law. Our liability is limited to fees paid in the preceding 12 months, except where German law does not permit limiting liability — in particular for intent, gross negligence, or injury to life, body, or health.

Governing law and changes

These Terms are governed by the laws of Germany. The courts of Aschaffenburg have jurisdiction where permitted by law. We may update these Terms from time to time; we'll notify active customers of material changes by email before they take effect.
